Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of this website and of the products operated by Amphibian Digital LLC, a one-person company registered in the State of Wyoming, United States, at 30 N Gould St Ste N, Sheridan, WY 82801. On this page, "I", "me" and "my" mean the company and me as the person behind it. By using any of them you agree to these Terms. If you do not agree, please do not use the services.

2. The services

These Terms cover this website and the following products, together with any related feature I make available:

• FrogDR (frogdr.com), domain rating tracking.
• twelve.tools, a daily tools directory.
• ramen.tools, a directory of tools used by indie makers.
• Serpivore (serpivore.com), Google keyword rank and SERP feature tracking.

Some products are free to use, some are paid, and some allow user submissions. I may add, change or discontinue features at any time.

3. Eligibility

You must be at least 18 years old, or the age of majority where you live, to create an account or buy a subscription. If you use the services on behalf of a company, you confirm that you are allowed to accept these Terms for it.

4. Accounts

• Provide accurate information about yourself when you register, and keep it up to date.
• Keep your password, or the email inbox you use for magic-link sign-in, secure. Anything done through your account is treated as done by you.
• One person or company per account. Do not share accounts or resell access.
• Tell me promptly if you believe your account has been compromised.
• I may suspend or close an account that breaches these Terms, is used for abuse, or creates a legal or security risk.

5. Acceptable use

You agree not to:

• break any law, or infringe anyone's rights, while using the services;
• submit content that is unlawful, deceptive, malicious, or that you do not have the right to publish;
• submit spam, or use the services to send unsolicited messages or misleading listings;
• attempt to access parts of a service you are not authorised to use, probe or bypass my rate limits, or attack the services or their users;
• scrape, crawl or bulk-download a service in a way that interferes with its normal operation, other than through interfaces I provide;
• copy, resell or white-label a service, or its data, without my written permission;
• upload malware, or otherwise interfere with the security and integrity of the services.

6. Content you submit

• You keep ownership of the content you submit, such as your listing text and logo.
• By submitting content, you grant me a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, format and promote that content in connection with the service you submitted it to. This licence ends when you or I remove the content, except for copies kept in backups or as the law requires.
• You confirm that you own the content or have the rights needed to submit it, including any trademarks and images, and that publishing it does not infringe anyone else's rights.
• I may edit, reformat, recategorise, or remove any submission, for example to fix a title, remove spam, or respect a legal request. I am not obliged to publish any submission.
• My automated systems and authorised reviewers may screen submissions for spam and abuse, and may take a screenshot of a submitted website for display in a listing.

7. Amphibian Digital’s content and intellectual property

The services, including their design, code, text, graphics, databases and arrangement, belong to Amphibian Digital LLC or its licensors and are protected by intellectual property law. You may not copy, reproduce, distribute, modify or create derivative works from them, except as the law allows or as I agree in writing. Amphibian Digital's product names and logos may not be used without my permission, except to link to or refer accurately to my services.

8. Paid plans, billing and cancellation

• Prices are shown in US dollars on each product's pricing page and may change with notice before your next renewal.
• Payments are processed by Stripe. By buying a subscription you also accept Stripe's terms, and where Stripe acts as merchant of record for your purchase, Stripe handles the transaction, applicable taxes and related buyer protections under its own policies.
• Subscriptions renew automatically at the end of each billing period, at the price in force, until you cancel.
• Cancelling stops future renewals immediately; you keep access until the end of the period you already paid for. You can cancel from the billing link in your account or by writing to sam@frogdr.com.
• Failed payments may lead to suspension of the paid features. I will normally email you first.
• Refunds: except where the law requires a refund, or where a product page says otherwise, fees already paid are not refundable and partial periods are not refunded on cancellation.

9. Third-party sites and data

My products link to, analyse, and display information about websites and services that I do not control. I am not responsible for their content, availability or practices, and linking to them is not an endorsement. Metrics I show about a domain, such as domain rating, backlink counts or search ranking positions, come from third-party data providers; they are estimates for information purposes, not guarantees, and they can differ from other providers' numbers.

10. Availability and changes

I work to keep the services available, but I provide them on an "as is" and "as available" basis. Features can change, be removed, or be briefly unavailable for maintenance. I may impose reasonable usage limits, for example on the number of tracked keywords or submissions, as described on the relevant product page.

11. Disclaimers

To the maximum extent permitted by law, the services are provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. I do not warrant that the services will be uninterrupted, error-free, or that any data, metric, report or result you obtain will be accurate or reliable for your purposes.

12. Limitation of liability

To the maximum extent permitted by applicable law, Amphibian Digital LLC, its members, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, resulting from (a) your use of or inability to use the services; (b) any conduct or content of any third party on or about the services; or (c) unauthorised access to, use of, or alteration of your transmissions or content. Where liability cannot be excluded, my total liability for all claims relating to a service is limited to the amount you paid me for that service in the twelve months before the claim arose.

13. Indemnity

You agree to indemnify and hold harmless Amphibian Digital LLC and its members from claims, damages, liabilities and reasonable costs arising out of your content, your use of the services, or your breach of these Terms.

14. Suspension and termination

You may stop using the services at any time, and you can ask me to close your account. I may suspend or terminate access if you breach these Terms, if I am required to by law, or if I discontinue a service. If I terminate a paid service without cause, I will refund the unused part of the period you paid for.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. The courts located in Wyoming have exclusive jurisdiction over disputes arising from these Terms or the services, unless the law where you live gives you a right to a different forum that cannot be waived.

16. Changes to these Terms

I may update these Terms. The "Last updated" date at the top of this page shows the current version, and material changes will be described on this page. Continuing to use the services after a change means you accept the revised Terms.
